a) Before the Client proceeds to apply for eDDA Service (as defined below) through GHSL (as defined below), please read carefully these important warnings and the Terms and Conditions set out below;

客户透过金马证券（释义见下文）申请电子直接付款授权服务（释义见下文）前，请仔细阅读本重要警告及下文所载的条款及细则；

b) The Client should contact the Client’s Participant Bank (as defined below) and find out relevant risks involved, which may include but are not limited to: (i) malware attack or hacking or sabotage of bank customers’ accounts resulting in confidential banking information and transaction authentication codes being stolen; (ii) anti-virus software lagging behind, undermining the effectiveness of using mobile devices for the purpose of second factor authentication of internet banking transactions; and (iii) banking information being stolen and misused to create unauthorized direct debit transactions. To minimize such risks, the Client is strongly advised to verify his transaction records/history on a regular and timely basis and contact the Client’s Participant Bank immediately once discovering any error or discrepancy.

客户应联络客户的参与银行（释义见下文）以了解泛及相关的风险，包括但不限于：(i) 恶意软件攻击、非法入侵或蓄意破坏银行客户帐户，导致机密银行资料及交易验证码被盗取；(ii) 防毒软件落后，损害使用流动装置进行网上银行交易的双重身份验证的有效性；及 (iii) 银行资料被盗取和滥用而进行未经授权的直接付款交易。为将此类风险减至最低，强烈建议客户定期并适时查核客户的交易记录/历史记录，一旦发现任何错误或差异，请立即联络客户的参与银行。

c) Once the relevant Participant Bank has approved the Client’s application, and the Client has received the confirmation notification from GHSL, the Client may start to issue eDDI (as defined below) fund transfer instructions in respect of transactions conducted through GHSL. The fund transfer limit is subject to the Client’s account setting as stipulated by the Client’s Participant Bank (as defined below).

一旦相关参与银行批准客户的申请，且客户已收到金马证券的确认通知后，客户即可对透过金马证券进行的交易发出电子直接扣帐指示(释义见下文) 的资金转账指示。资金转账限额视乎客户的参与银行（释义见下文）订明的账户设定。

d) Please observe the service hours of eDDA services posted in GHSL’s website.

请留意金马证券网站有关电子直接付款授权服务的服务时间。

B. By applying to GHSL to set up eDDA (as defined below) via the Mobile Trading APP (as defined below), the Client confirms that he/she/it has read and agrees to be bound by the Terms and Conditions for eDDA (including these Important Warnings), the terms and conditions of the Client Agreement of GHSL and other addenda, policies, terms or other documents which may be published by GHSL from time to time, which are expressly incorporated herein by reference. If the Client does not accept any of such terms, conditions or documents, the Client SHALL NOT PROCEED any further.

透过手机买卖应用程序向金马证券申请设立电子直接付款授权（释义见下文），客户确认，客户已阅读并同意遵守本电子直接付款授权的条款及细则（包括本重要警告）、金马证券客户协议书的条款及细则及金马证券可能不时刊发并透过引述而明确纳入本条款及细则的其他附录、政策、条款或其他文件。倘客户不接受任何此等条款、细则或文件，客户不该继续进行进一步申请。

1 In these Terms and Conditions for eDDA (these “eDDA Terms”), except where the context otherwise requires, the following words and phrases shall have the following meanings:

在本电子直接付款授权的条款及细则（「本电子直接付款授权条款」）中，除非文义另有所指，否则下列词汇具有以下涵义：

Applicable Requirements

适用规定

means any law, regulation, court order, or any rule, direction, guidelines, code, notice or restriction (whether or not having the force of law) issued by the Hong Kong Monetary Authority, any regulatory authority, governmental agency (including tax authority), clearing or settlement bank or exchange, or industry or self-regulatory body, whether in or outside Hong Kong, to which GHSL (as defined below), a Participant Bank (as defined below), HKICL (as defined below) or any other Participant Banks or their respective affiliates or group companies, or any users are subject or are expected to comply with from time to time.

指金马证券（释义见下文）、参与银行（释义见下文）、结算公司或任何其他参与银行或各自的关联公司或集团公司或任何用户须不时遵守或预期须遵守由香港金融管理局及香港境内或境外任何监管机构、政府部门（包括税务当局）、结算或清算银行或交易所、行业组织或自律监管机构发出的任何法律、规例、法庭令或任何规则、指示、指引、守则、通知或限制（无论是否具有法律效力）。

Bank

银行

means the Participant Bank (including its successors and assigns) chosen by GHSL for eDDA.

指，即由金马证券为电子直接付款授权服务选择的参与银行（包括其继承人及受让人）。

Designated Bank Account

指定银行账户

means same name account in the Client’s own name (not joint bank account or corporate account) maintained with a Participant Bank.

指以客户自己名义在参与银行开设的同名账户 (非联名账户或公司账户)。

eDDA

电子直接付款授权

means a direct debit authorization set up by electronic means using HKICL FPS (as defined below);

指透过电子方式使用结算公司转数快（释义见下文）设立的直接付款授权。

eDDA Service

电子直接付款授权服务

means the service provided by HKICL as part of HKICL FPS to facilitate a payer (a customer of a Participant Bank) to set up direct debit authorization with a Participant Bank and to make payments to a designated account maintained by a payee with a Participant Bank.

指由结算公司提供作为结算公司转数快一部分的服务，方便付款人（参与银行的客户）在参与银行设定直接付款授权，以及向收款人在参与银行设立的指定账户支付款项。

eDDI

电子直接扣帐指示

means electronic direct debit instruction.

指电子直接扣帐指示。

GHSL

金马证券

means Goldhorse Securities Limited, a licensed corporation under the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) to carry on Type 1 (dealing in securities) and Type 4 (advising on securities) regulated activities in Hong Kong with CE No. BFU406 and a trading participant of The Stock Exchange of Hong Kong Limited.

指金马证券有限公司，根据香港法例第 571 章《证券及期货条例》可于香港从事第 1 类（证券买卖）及第 4 类（就证券提供意见）受规管活动的持牌法团（中央编号为BFU406），亦是香港联合交易所有限公司的交易所参与者。

GHSL T&Cs

GHSL 条款

means the terms and conditions of the Client Agreement of GHSL, its addenda, amendments and supplements, including Personal Data (Privacy) Ordinance of Hong Kong, as stipulated and revised by GHSL from time to time (collectively referred to “Circulars”).

指金马证券订明及不时修改的金马证券客户协议书的条款及细则、其附录、修订及补充文件，包括有关香港个人资料（私隐）条例（统称为「通函」）。

HKICL

结算公司

means Hong Kong Interbank Clearing Limited and its successors and assigns.

指香港银行同业结算有限公司及其继承人及受让人。

HKICL FPS

结算公司转数快

means the Faster Payment System and related facilities and services provided, managed and operated by HKICL from time to time for: (i) processing direct debits and credits, funds transfers and other payment transactions; and (ii) exchanging and processing instructions relating to eDDA Service and other ancillary services.

指由结算公司不时为以下各项提供、管理及营运的快速支付系统及相关设施与服务：(i) 处理直接扣帐和记账、资金转账及其他支付交易；及(ii) 交换及处理有关电子直接付款授权服务及其他辅助服务的指示。

Hong Kong

香港

means the Hong Kong Special Administrative Region of the People’s Republic of China.

指中华人民共和国香港特别行政区。

Mobile Trading APP

手机买卖应用程序

means such mobile applicable software as may be designated by GHSL from time to time through which GHSL’s dealing services will be provided to the Client, and where the Client could access such services, such as enabling the Client to operate his/her/its securities trading accounts, conduct transactions and to give instructions to and communicate with GHSL.

指金马证券可能不时指定的适用手机软件，透过该软件向客户提供金马证券的买卖服务，而客户可藉由该软件使用此类服务，例如客户可以操作自己的证券交易帐户，进行交易以及向金马证券发出指示及进行沟通。

Participant Bank

参与银行

means a licensed bank operating in Hong Kong which participates in HKICL FPS (as defined below) and is capable of processing its customers’ fund transfer instructions through the HKICL FPS.

指在香港营运的持牌商业银行，此等银行参与结算公司转数快并能够透过结算公司转数快处理其客户的资金转账指示。

Captialized terms that are not otherwise defined in these eDDA Terms shall have the same meaning contained in the GHSL T&Cs.

本电子直接付款授权条款未界定的词条具GHSL条款相同的涵义。

2. In consideration of GHSL agreeing at the Client’s request to set up eDDA for the Client, the Client agrees to be bound by these eDDA Terms.

鉴于金马证券同意客户的申请为客户设立电子直接付款授权，客户同意遵守本电子直接付款授权条款。

3. Prior to making a request to GHSL for eDDA, the Client shall:

客户向金马证券提出申请电子直接付款授权之前，客户应：

a) specify a Designated Bank Account for eDDA;

为电子直接付款授权指明一个指定银行账户；

b) review and understand the relevant terms stipulated by the Client’s Participant Bank in respect of eDDA Service and the threshold amounts imposed in respect of a category of payment/debit;

细阅并了解客户的参与银行就电子直接付款授权服务订明的相关条款以及就支付/扣帐类别实施的门坎金额；

c) familiarize himself/herself/itself with the functions, features, limitations, risks and consequences of the eDDA Service;

让他/她/牠自己熟悉电子直接付款授权服务的功能、特点、限制、风险及后果；

d) evaluate fully the risks associated with using eDDA Service;

充分评估使用电子直接付款授权服务所泛及的风险；

e) ascertain from the Client’s Participant Bank relating policies and procedures for cancelling the Client’s eDDA; and

向客户的参与银行了解明白有关取消客户的电子直接付款授权的政策及程序；及

f) seek independent advice from legal, financial and other professional advisers if the Client wishes to do so.

向法律、财务及其他专业顾问寻求独立意见 (如客户有此意愿)。

4. The Client understands and acknowledges that:

客户明白并确认：

a) the Client is requesting GHSL to set up any eDDA for him/her/it subject to these eDDA Terms, the terms and conditions stipulated by a Participant Bank and Applicable Requirements;

根据本电子直接付款授权条款、参与银行订明的条款及细则及适用规定，客户要求金马证券为客户设立任何电子直接付款授权；

b) GHSL may, at its sole and absolute discretion, reject the Client’s request for eDDA or discontinue the eDDA arrangement at any time without giving reason and without liability;

金马证券可随时按其绝对酌情权决定拒绝客户要求的电子直接付款授权或终止电子直接付款授权的安排而无需提供任何理由，亦无需承担任何责任；

c) the delivery of eDDA Service requested by the Client to GHSL constitutes delivery by the Client to the Participant Bank administering the Client’s Designated Bank Account (“Client Participant Bank”);

客户向金马证券要求电子直接付款授权服务，即构成客户向管理客户的指定银行账户的参与银行（「客户参与银行」）提出要求；

d) the eDDA is provided for the benefit of GHSL, the Client Participant Bank and the Bank, and is provided in consideration of and subject to the Bank and the Client Participant Bank in agreeing to process the eDDA in accordance with Applicable Requirements and their own internal policies; and

电子直接付款授权乃为金马证券、客户参与银行及银行的利益而提供，而提供电子直接付款授权乃考虑到并以银行及客户参与银行同意根据适用规定及其自身内部政策处理电子直接付款授权为大前提；及

e) GHSL will notify the Client by email if the Client Participant Bank accepted the eDDA request; if the Client Participant Bank rejects the eDDA request or if the Client Participant Bank does not respond, GHSL will notify the Client of the result of the eDDA request, however, GHSL will not assume any liability for it.

倘客户参与银行接受电子直接付款授权要求，金马证券将透过电邮通知客户；倘客户参与银行拒绝电子直接付款授权要求，或者客户参与银行未有回复，则金马证券将会透过电邮通知客户电子直接付款授权要求的结果，但是，金马证券不会就此承担任何赔偿责任。

5) For the purpose of setting up the eDDA and subject to approval by the Bank and the Client Participant Bank, the Client agrees and authorizes GHSL to collect, use, process, retain, transfer and release the Client’s personal data and bank information (including but not limited to the Client’s full name in English, registered mobile number with the Designated Bank, ID/passport number and bank account number of the Designated Bank Account) to the Bank and the Client Participant Bank, for the following purposes:

为设立电子直接付款授权之目的且视乎银行及客户参与银行批准，客户同意并授权金马证券收集、使用、处理、保留、向银行及客户的参与银行传送及披露客户的个人资料及银行资料（包括但不限于客户英文全名、于指定银行注册的手机号码、身份证明文件/护照号码以及客户的指定银行帐户号码）作以下目的：

a) identifying and communicating with the Client

识别客户的身份并与客户沟通；

b) processing and submitting the eDDA request to the Client Participant Bank via the Bank;

透过银行处理电子直接付款授权要求并提交予客户参与银行；

c) processing instructions and payments for eDDA purpose;

就电子直接付款授权目的处理指示及付款；

d) answering enquiries from the Client, the Bank or the Client Participant Bank regarding eDDA Service and eDDI;

回复客户、银行或客户参与银行对电子直接付款授权服务及电子直接扣帐指示的查询；

e) meeting any disclosure requirements under any Applicable Requirements; and

符合任何适用规定项下的任何披露要求；及

f) purposes relating or ancillary to any of the above.

与上述任何一项有关或其附属之目的。

For the avoidance of doubt, nothing contained in this clause shall be construed as a modification or amendment of any terms of the Circular.

为免生疑问，本条款的任何内容概不得诠释为修改或修订通函的任何条款。

6. To give effect to any eDDI initiated by the Client using the Mobile Trading APP, the Client unconditionally and irrevocably authorizes and directs GHSL to arrange such real-time direct debits via eDDA from the Client’s Designated Bank Account to the Client’s securities trading account maintained with GHSL for:

为执行客户使用手机买卖应用程序发出的任何电子直接扣帐指示，客户无条件且不可撤回地授权及指示金马证券透过电子直接付款授权将以下款项从客户的指定银行账户实时直接转账入客户在金马证券的证券交易帐户：

a) the total consideration of the completed orders/instructions placed by the Client or on behalf of the Client;

客户或代表客户发出且已成交的订单/指示的总代价；

b) such amount of money for settlement of any and all payments of levies, duties, taxes required under Applicable Requirements;

清缴根据适用规定需要的任何及所有征费、税费、税项的金额；

c) payment in respect of margin calls made by GHSL;

支付金马证券催缴的追加保证金；

d) any amounts payable by the Client to GHSL including, without limitation, any finance charges, accrued interest thereon and costs, fees, commissions and expenses payable by me to GHSL;

客户应向金马证券支付的任何金额，包括但不限于任何财务费用、其应计利息以及应向金马证券或其联属公司支付的成本、费用、佣金及支出；

e) all losses in relation to carrying out any eDDI;

承担因执行任何电子直接扣帐指示相关的一切损失；

f) fees and charges of the Bank in respect of processing any eDDI; and

银行就处理任何电子直接扣帐指示的费用及收费；及

g) any sum paid into the Client’s Designated Bank Account erroneously as a result of a system error or human error.

由于系统或人为错误而错误存入客户的指定银行账户的任何金额。

Please refer to GHSL’s website for the latest service hour regarding eDDI.

有关 eDDI 的最新服务时间，请参阅金马证券的网站。

If the Client initiates an eDDI outside GHSL’s service hours, the Client agrees that GHSL may, without liability, route the eDDI to the Client’s Participant Bank during the next service window.

如客户在于金马证券的服务时间以外发出电子直接扣帐指示，客户同意金马证券可以在下一个服务时段将电子直接扣帐指示 转送至客户的参与银行而金马证券无须承担任何责任。

7. The Client understands and agrees that:

客户明白及同意：

a) eDDA is not applicable to joint name bank accounts or corporate accounts;

电子直接付款授权不适用于联名银行账户或公司账户；

b) the Client’s Participant Bank and the Bank shall not be obliged to ascertain whether or not notice of any such transfer has been given to the Client;

客户的参与银行及银行并无责任确定是否已向客户发出任何此类转账的通知；

c) the eDDA hereunder will continue to be in full force and effect as long as the Client continues to use mobile trading service of GHSL until further notice; if the Client chooses to cancel or change the settings of the eDDA, the Client can contact the Client Participant Bank directly;

只要客户继续使用金马证券的手机买卖服务，则本电子直接付款授权将继续生效直至另行通知；倘客户选择取消或更改电子直接付款授权的设定，客户可直接联络客户的参与银行；

d) to initiate a fund transfer through eDDA, the Client is required to initiate a new fund transfer instruction (i.e. eDDI );

客户必须发出新的资金转账指示（即电子直接扣帐指示），方可透过电子直接付款授权启动资金转账；

e) any request on eDDI received by GHSL, believed by GHSL in good faith to be given by the Client, will be irrevocable and binding on the Client;

金马证券收到的任何电子直接扣帐指示的申请，金马证券真诚相信是由客户发出乃不可撤回的且对客户具有约束力；

f) should there be insufficient funds in the Client’s Designated Bank Account to meet any debit/transfer authorized by these eDDA Terms, the Client’s Participant Bank may, in its sole and absolute discretion, refuse to effect such a debit/transfer and may cancel the eDDA at any time without notification to the Client. The Client understands that GSHL shall not accept any responsibility and liability for any damage or loss whatsoever;

倘客户的指定银行账户的资金不足以执行本电子直接付款授权条款授权的任何扣帐/转账，客户的参与银行可按其绝对酌情权决定拒绝执行此等扣帐/转账，并可以在不通知客户的情况下随时取消电子直接付款授权。客户明白，对于任何损害或损失，金马证券一概不须承担任何责任和义务；

g) the Client’s Participant Bank may also, in its sole and absolute discretion, cancel the eDDA at any time without prior notice and without giving reasons (even though the eDDA has not expired or there is no expiry date for the eDDA) and refuse to process any eDDI, and if such authorization is cancelled by the Client’s Participant Bank, the Client should make direct enquiries with the Client’s Participant Bank and the Client agrees that GHSL shall not assume any liability;

客户的参与银行亦可按其绝对酌情权决定随时取消电子直接付款授权，无需事先通知亦无需说明理由（即使电子直接付款授权尚未到期或电子直接付款授权并无到期日）及拒绝处理任何电子直接扣帐指示，倘客户的参与银行取消此等授权，客户应直接向客户的参与银行查询，且客户同意金马证券不应就此承担任何赔偿责任；

h) the Client understands that the Bank may also terminate its eDDA Service at any time and suspend or withdraw at any time any of its eDDA Service or part thereof;

客户明白，银行亦可随时终止其电子直接付款授权服务及随时暂停或撤销其任何电子直接付款授权服务或电子直接付款授权服务的任何部分；

i) the Client understands that the Bank and the Client Participant Bank may not accept any request to cancel or vary any of the eDDI;

客户明白，银行及客户的参与银行有可能不接受取消或更改电子直接扣帐指示任何部分的任何要求；

j) eDDIs sent via online transmission cannot be guaranteed to be secure or error free as they can be intercepted, hacked, corrupted, lost, arrive late or contain viruses, malware and other problems and that GHSL and the Client Participant Banks in the Client’s eDDA arrangement do not have any liability for any errors or omissions in, or late or failure of arrival or receipt of, any eDDI sent via online transmission;

透过网络传输发出的电子直接扣帐指示可能被拦截、黑客攻击、破坏、遗失、延迟送达或含有病毒、恶意软件及出现其他问题，故无法保证安全或并无错误，而金马证券及客户的电子直接付款授权安排的参与银行对透过网络传输发出的电子直接扣帐指示出现的任何错误或疏漏、延迟或未有送达或未能接收概不承担任何责任；

k) GHSL and the Participant Banks may treat all eDDIs as properly authorized by the Client, even if made fraudulently and they are not obliged to put in place additional security measures to verify the validity of such authorization and the Client agrees and that the processing of eDDIs may be delayed or declined as a result of these lack of measures, and that GHSL and the Participant Banks will not be liable for any losses arising from such delay or refusal to act;

金马证券及参与银行可将所有电子直接扣帐指示视为经客户正当授权，即使是欺诈下作出，它们亦无责任采取进一步安全措施查核此等授权是否有效，且客户同意此等缺乏措施可能导致电子直接扣帐指示的处理延误或被拒，而金马证券及参与银行将不就此等延误或拒绝行动造成的任何损失承担任何责任；

l) where the Client’s has set up eDDA on the Client’s Designated Bank Account, but no fund transfer is made pursuant to that authorization for a significant period of time, GHSL may at its sole and absolute discretion and without prior notice and without liability to the Client cancel the eDDA, even if that authorization has not expired or is not subject to an expiry or termination date; and

倘客户在指定银行帐户设立电子直接付款授权，但在一段显著较长时间未有根据该授权进行资金转账，即使该授权尚未到期或不受到期日或终止日约束，金马证券可按其绝对酌情权决定取消电子直接付款授权，无需事先向客户发出通知，亦无需对客户承担任何责任；及

m) the Client understands and acknowledges that any notice of cancellation or variation of the eDDA hereunder shall be given to the Client Participant Bank and that the Client’s Participant Bank may notify GHSL and the Bank of such cancellation or variation.

客户明白及知悉，本条款项下取消或变更电子直接付款授权的任何通知须向客户的参与银行发出，且客户的参与银行有可能通知金马证券及银行取消或变更事宜。

8. The Client shall:

客户须：

a) provide GHSL with all necessary information and documents for the purpose of processing the request of eDDA;

向金马证券提供处理电子直接付款授权申请时必需的一切资料及文件；

b) comply with these eDDA Terms, Applicable Requirements and policies of the Bank and of the Client’s Participant Bank in connection with the Client’s use of eDDA Service and sending and processing of any eDDI;

遵守本电子直接付款授权条款、适用规定及银行及客户的参与银行就客户使用电子直接付款授权服务及发出与处理任何电子直接扣帐指示的政策；

c) check the accuracy and completeness of any eDDI, and GHSL and the Participant Banks shall be under no obligation to check or verify the same and accepts no responsibility or liability in respect thereof;

检查任何电子直接扣帐指示的准确性及完整性，金马证券及参与银行无须检查或查核其准确性及完整性，亦不就此负责或承担任何责任；

d) take full responsibility for any overdraft (or increase in existing overdraft) on the Client Designated Bank Account which may arise as a result of any debit or transfer effected through any eDDI;

就透过任何电子直接扣帐指示进行任何扣帐或转账而导致客户的指定银行账户出现任何透支（或扩大现有透支）承担全部责任；

e) inform GHSL immediately, in writing, of any change in the Client’s Designated Bank Account (e.g. account suspension/closure, change of account number etc.) or other information (e.g. mailing address, telephone number etc.);

立即以书面方式通知金马证券有关客户的指定银行账户（例如账户暂停/关闭、帐户号码变更等）或其他资料（例如邮件地址、电话号码等）的任何变更；

f) maintain sufficient funds in the Client’s Designated Bank Account at the time of the transfer/debit authorized by these eDDA Terms to cover any eDDI;

进行本电子直接付款授权条款授权的转账/扣帐时，客户的指定银行账户备有足够资金以应付任何电子直接扣帐指示；

g) observe the cut-off time for eDDI processing and ensure that the Client’s funds reach GHSL in a timely manner to fulfill the Client’s settlement obligation under the relevant transactions;

遵守处理电子直接扣帐指示的截止时间，并确保客户的资金及时存入金马证券，以履行相关交易的结算责任；

h) check the account balance and transaction limit of the Client’s Designated Bank account and arrange for deposit of funds with GHSL promptly via other means as may be directed by GHSL if the Client’s eDDI is rejected;

倘若客户的电子直接扣帐指示被拒，请检查客户的指定银行账户的户口结余及交易限额，并通过金马证券指示的其他方式及时安排向金马证券存入资金；

i) pay the necessary charge or administration fee levied by the Client’s Designated Bank Account should the Client’s eDDI not effected and be returned due to insufficient funds, account suspension, account closure or other reasons;

倘因资金不足、账户暂停、账户关闭或其他原因而导致客户的电子直接扣帐指示未能执行及被退回，须支付客户的指定银行账户收取的必要费用或行政费用；

j) if any delay, unavailability, disruption, failure, error or other matter (as mentioned in Clause 9 below) occurs in respect of the eDDA Service and eDDI, arrange for deposit of requisite funds with GHSL promptly via other deposit means;

倘若电子直接付款授权服务及电子直接扣帐指示出现任何延误、未能提供服务、中断、故障、错误或其他事宜（如下文第 9 条所述 ），请透过其他存款方式，从速安排向金马证券存入所需的资金；

k) monitor the Client’s Designated Bank Account closely and ensure that debits/transfers of funds are correct or accurately recorded (as the case may be);

密切监察客户的指定银行账户，并确保正确或准确地记录（视情况而定）扣帐/资金转账情况；

l) seek assistance promptly from the Client Participant Bank if the Client has made a mis-transfer of funds; and

倘客户的资金错误转账，请从速向客户的参与银行求助；及

m) where either the Bank or GHSL has reason to believe that an eDDI is not properly authorised, or that any other breach of security has occurred in relation to the client system or the Client’s use of the real time direct debit services, GHSL reserves the right not to process, or to delay processing the eDDI, and GHSL will inform the Client as soon as reasonably practicable. GHSL shall not be liable for any of such non-processing or delayed processing.

倘银行或金马证券有理由相信电子直接扣帐指示未有妥善授权，或出现与客户系统或客户使用实时直接转账服务相关的违反安全的任何其他行为，金马证券保留权利不处理或延迟处理电子直接扣帐指示，而金马证券将在合理可行情况下尽快通知客户。就该等不处理或延迟处理，金马证券对此不承担任何责任。

9. The Client agrees and confirms that GHSL shall not be liable to the Client for any direct or indirect loss, damage, fee or expense of any kind, which the Client or any other person may incur or suffer arising from or in connection with:

客户同意并确认，金马证券无须对客户或任何其他人士可能发生的或遭受的因下述事项引起的或与此相关的任何直接或间接的损失、损害、费用或任何形式的支出承担任何责任：

a) setting up of eDDA for the Client’s Designated Bank Account;

为客户的指定银行帐户设立电子直接付款授权；

b) rejection of the Client’s application for eDDA Service;

拒绝客户的电子直接付款授权服务申请；

c) processing or execution of eDDI (except to the extent that the loss, damage or expense arises directly and solely from GHSL’s own fraud, gross negligence or wilful default);

处理或执行电子直接扣帐指示 (除了基于金马证券自己的欺诈、严重疏忽或故意违约造成的损失、损害或费用外)；

d) any losses which the Client may suffer from anything which GHSL or the Bank does or omits to do (in the absence of fraud, gross negligence, wilful default or bad faith on the part of GHSL) in connection with the eDDA or processing of any eDDI;

客户可能由于金马证券或银行采取或未有采取与电子直接付款授权或处理任何电子直接扣帐指示相关的行动（在金马证券并无欺诈、严重疏忽、故意违约或恶意的情况下）遭受的任何损失；

e) anything done or omitted to be done because of any legal requirement, any requirement of a regulatory body or authority or an order or direction of a court or tribunal;

任何法律要求、监管机构或当局的任何要求或法庭或仲裁庭的命令或指令而采取或未有采取的行动；

f) any inability to act as a result of any eDDI being unclear or incomplete;

任何电子直接扣帐指示不清晰或不完整而导致未能采取行动；

g) any delay, unavailability, disruption, failure or error of or caused by the Bank or the Client’s Participant Bank;

银行或客户的参与银行出现或造成任何延误、未能提供服务、中断、故障或错误；

h) any delay, unavailability, disruption, failure or error of HKICL FPS or related facilities or services;

结算公司转数快或相关设施或服务出现任何延误、未能提供服务、中断、故障或错误；

i) any delay, unavailability, interruption, failure or error of the Internet, mobile platform or any electronic, computer or other system; or

互联网、手机平台或任何电子、计算机或其他系统出现任何延误、未能提供服务、中断、故障或错误；或

j) anything beyond the control of GHSL or the Bank.

金马证券或银行可控制范围以外的任何事宜。

In the event that GHSL is found to be liable to the Client, the Client agrees that the total liability of GHSL under this clause shall not exceed the total commission received by GHSL from the relevant transactions involving eDDI transmission.

倘裁定金马证券对客户负有责任，客户同意金马证券根据本条承担的全部责任不得超过金马证券从电子直接扣帐指示传输的相关交易中收取的佣金总额。

10. IN NO EVENT SHALL GHSL BE LIABLE TO THE CLIENT OR TO ANY THIRD PARTY FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO SUCH DAMAGES ARISING FROM BREACH OF CONTRACT OR WARRANTY OR FROM NEGLIGENCE OR STRICT LIABILITY), IN CONNECTION WITH THESE EDDA TERMS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

在任何情况下，金马证券均无须对客户或任何第三方就与本电子直接付款授权条款相关的任何间接、惩罚性、附带、特殊或相应而生的损害赔偿（包括但不限于违反合同或保证或疏忽或严格责任引起的损害赔偿）负责，即使该方已获告知出现此等损害赔偿的可能性，且不论申索依据的法律或衡平法理论（合同、侵权或其他方面）。

11. To the extent permissible under Applicable Requirements, the Client agrees to indemnify GHSL and hold GHSL harmless against all actions, claims, proceedings, losses, damages, taxes, expenses and costs arising out of or in connection with:

在适用规定许可的范围内，客户同意须赔偿金马证券就下述事项引起或与此相关的一切诉讼、申索、程序、损失、损害、税项、支出及费用并使金马证券免受其损失：

a) the acceptance and acting on the Client’s instructions to raise a request for eDDA;

接受并按照客户的指示所执行电子直接付款授权之请求所行事；

b) the acceptance and acting on any eDDI initiated by the Client;

接受并按照客户发出的任何电子直接扣帐指示所行事；

c) performing its obligations hereunder;

履行本电子直接付款授权条款项下的责任；

d) any breach by the Client of the Client’s obligations or of either the GHSL T&Cs or these eDDA Terms;

客户违反客户的任何责任或违反 GHSL 条款或本电子直接付款授权条款；

e) anything done or omitted to be done by GHSL in reliance on instructions or communications which GHSL in its sole and absolute discretion believes to have been given by the Client or on behalf of the Client or any failure of the Client to give instructions;

金马证券根据金马证券按其绝对酌情权相信由客户或客户的代表作出的任何指示或通讯，或客户未发出任何指示而采取或未采取的行动；

f) any proceeding or investigation by or on behalf of any regulatory body; and

任何监管机构或其代表进行的任何程序或调查；及

g) any action by GHSL taken in good faith to comply with any Applicable Requirements.

金马证券为遵守任何适用规定而真诚作出的任何作为。

12. GHSL may revise these eDDA Terms at any time and from time to time after giving such reasonable notice as may be required by the applicable code of practice or code of conduct or by its internal policy. Such provisions, any revision and/or additions thereto shall become effective when brought to the Client’s attention by way of notice and shall be deemed to have been accepted by, and binding on the Client if the Client continues to use any of mobile trading services provided by GHSL after the effective date of such notice.

金马证券根据适用的实务守则或行为守则或其内部政策的要求而发出合理通知后，即可随时及不时修订本电子直接付款授权 条款。该等条文、任何修订及/或增补以通知方式敬请客户注意时随即生效，倘客户于该通知生效日期后继续使用金马证券提供的任何手机买卖服务，即视为该等条文、任何修订及/或增补获客户接受且对客户具有约束力。

13. Save as stated in these eDDA Terms, no person other than the Client or GHSL will have any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623 of the Laws of Hong Kong) to enforce or enjoy the benefit of any of the provisions of these eDDA Terms.

除本电子直接付款授权条款所述者外，客户以外的任何人士概无权根据香港法例第 623 章《合约（第三者权利）条例》执行本电子直接付款授权条款的任何条文或享有该等条文的利益。

14. In case of inconsistencies between the English version and the Chinese version of these eDDA Terms, the English version shall prevail.

如本电子直接付款授权条款之中英文版本有任何歧义，概以英文版本为准。

15. These eDDA Terms shall be governed by and construed in accordance with the laws of Hong Kong. The jurisdiction clause in the GHSL T&Cs shall also apply to these eDDA Terms.

本电子直接付款授权条款受香港法律管辖并根据香港法例诠释。GHSL条款的管辖权条款亦适用于本电子直接付款授权条款。
